States). Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the

In our opinion, the combined financial statements referred to above present fairly, in all material respects, the financial
position of McGraw-Hill Education at December 31, 2011 and 2010, and the results of its operations and its cash flows for
each of the three years in the period ended December 31, 2011, in conformity with United States generally accepted
accounting principles.
